This document forms a binding agreement between you and DMBS Orbit. If you are accepting these terms on behalf of a company, you confirm that you have authority to bind that organization to these Terms & Conditions.
In this document, references to “we,” “us,” and “our” refer to DMBS Orbit, while references to “you” and “your” refer to any visitor, customer, or user accessing our website or services.
a. Acceptance of Terms
By accessing this website, requesting information, or engaging any service provided by DMBS Orbit, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and by any policies that are incorporated by reference.
If you do not agree with any part of these terms, you should discontinue use of this website and refrain from purchasing or using our services. Continued use after notice of updates constitutes acceptance of the revised terms.
You represent that you are legally capable of entering into contracts in your jurisdiction. If you are using our site or services on behalf of a legal entity, you represent that you are authorized to accept these terms for that entity.
Key interpretation points
- Access to the website is voluntary and subject to these terms at all times.
- Any supplemental agreement, proposal, or order form may include additional terms specific to a service.
- Where supplemental terms conflict with these terms, the supplemental terms govern only for that service.
- Nothing in this clause limits rights that cannot be waived under applicable law.
You are responsible for ensuring that all individuals who access our services through your account or organization are informed of these terms and comply with them.
b. Services Overview
DMBS Orbit provides digital strategy, creative, marketing, automation, and related consulting services. Specific deliverables, timelines, and project parameters are normally outlined in a proposal, scope document, or written agreement accepted by both parties.
We may use third-party software, infrastructure, and communication tools to deliver our services. Your use of those third-party components may also be subject to separate terms from those providers.
Service availability, feature sets, and operational methods may evolve over time. We reserve the right to improve, modify, suspend, or discontinue aspects of our services when reasonably necessary for legal, technical, or business reasons.
Scope and service boundaries
- We aim to provide services with professional care and commercially reasonable skill.
- We do not guarantee specific commercial outcomes unless explicitly documented in writing.
- Project start dates, deadlines, and milestone pacing may depend on your timely cooperation and approvals.
- Emergency maintenance, force majeure events, or third-party disruptions may affect scheduling.
- Advisory recommendations are informational and should be assessed with your own legal, financial, and operational judgment.
Any sample, case reference, or illustrative projection shared by DMBS Orbit is for context only and should not be interpreted as a guaranteed result for your business.
c. User Responsibilities
You agree to provide accurate information, cooperate in good faith, and maintain appropriate security over your credentials, systems, and any account access required for delivery of services.
You remain responsible for the legality, integrity, and ownership of content, assets, and permissions that you provide to DMBS Orbit for use within a project. You also remain responsible for obtaining all required rights, licenses, and approvals.
You will not use the website or services in any manner that violates applicable law, infringes the rights of others, or interferes with service reliability and security.
Conduct expectations
- Do not upload malicious code, scripts, or content intended to damage systems.
- Do not misrepresent identity, authority, or business relationships.
- Do not attempt unauthorized access to restricted systems or confidential data.
- Do not reverse engineer proprietary service frameworks except where law permits without waiver.
- Do not use outputs generated through our services for unlawful, deceptive, or abusive activity.
If we reasonably believe your use violates these terms or creates material risk, we may limit or suspend access while we investigate and seek resolution.
You are solely responsible for keeping your contact details current so we can send operational and legal notices.
d. Payments and Billing
Fees for services are communicated through proposals, statements of work, order forms, invoices, or other written documentation agreed by both parties. Unless otherwise stated in writing, invoices are due according to the payment terms listed on the invoice.
You authorize DMBS Orbit to issue invoices and receive payment using approved billing methods. Late or missing payments may result in paused deliverables, delayed timelines, or suspension of access to service outputs until balances are resolved.
Prices, rates, retainers, setup fees, usage charges, and tax obligations may differ by engagement type. Nothing on this legal page should be interpreted as a universal price promise.
Billing framework
- All amounts are payable in the currency specified in your agreement or invoice.
- Applicable taxes, duties, and government charges may be added where required by law.
- Disputed invoice items should be reported in writing within a reasonable review period.
- Undisputed portions of invoices remain payable by the due date.
- Refunds or credits, if any, are handled according to documented contractual terms.
We reserve the right to update billing procedures, provided any material changes are communicated through the normal account, contract, or invoice channels.
e. Intellectual Property
All website content, service methodologies, software components, documentation templates, brand assets, and proprietary processes of DMBS Orbit remain our intellectual property unless expressly assigned in writing.
Subject to payment and applicable contract terms, you may receive a limited license to use project deliverables for your internal business purposes. This license does not transfer ownership of our pre-existing materials or tools.
You retain ownership of content and assets you provide to us, and grant DMBS Orbit the rights required to access, process, and use those assets solely for service delivery and support.
Restrictions and permissions
- You may not remove attribution, copyright, trademark, or confidentiality notices without consent.
- You may not resell, sublicense, or redistribute proprietary frameworks unless authorized in writing.
- You may not claim authorship of DMBS Orbit proprietary methods or tools.
- Any unauthorized use may constitute intellectual property infringement and breach of contract.
- We may reference non-confidential project outcomes in portfolio materials unless contractually restricted.
Requests for expanded usage rights, transfer of ownership, or white-label treatment must be formalized through a separate written agreement.
f. Limitation of Liability
To the maximum extent permitted by law, DMBS Orbit is not liable for indirect, incidental, consequential, punitive, or special damages, including lost profits, lost data, lost opportunity, business interruption, or reputational harm arising from use of the website or services.
Our total liability for any claim related to services is limited to the amount paid by you to DMBS Orbit for the specific services giving rise to the claim during the relevant contractual period, unless applicable law requires a different standard.
You acknowledge that service performance may depend on third-party providers, market conditions, platform policies, and factors outside our reasonable control. We are not responsible for failures attributable to those external dependencies.
Important legal qualifiers
- No limitation in this clause excludes liability that cannot be excluded under applicable law.
- Claims must be brought within any legally required time limits.
- You agree to mitigate losses where reasonably possible.
- You are responsible for backups, independent compliance checks, and continuity plans for critical operations.
- The parties agree that these liability allocations are commercially reasonable.
If any part of this limitation is deemed unenforceable, remaining provisions continue to apply to the fullest extent permitted by law.
g. Termination
Either party may terminate a service relationship in accordance with contract terms, including notice periods, cure rights, and payment obligations stated in the governing engagement document.
DMBS Orbit may suspend or terminate access immediately where reasonably necessary to address security threats, unlawful use, non-payment, repeated policy violations, or conduct that creates material risk.
Upon termination, your right to access certain services may end, and both parties will cooperate in good faith to complete applicable handover steps consistent with the scope and payment status of the engagement.
Effects of termination
- Outstanding fees and reimbursable costs remain payable.
- Confidentiality obligations survive termination.
- Intellectual property and license terms survive as needed to protect each party’s rights.
- Liability limitations and dispute provisions continue to apply after termination.
- Data return or deletion procedures follow contract terms and legal retention requirements.
Termination does not waive rights or remedies that accrued prior to the termination date.
h. Governing Law
These Terms & Conditions are governed by and interpreted in accordance with the laws of the jurisdiction in which DMBS Orbit is legally established, without regard to conflict-of-laws principles.
Before initiating formal legal proceedings, the parties agree to attempt good-faith resolution through written notice and direct discussion. This process helps preserve continuity and reduce avoidable legal cost.
If a dispute cannot be resolved informally, the parties submit to the competent courts or dispute forum designated by applicable contract terms and governing legal requirements.
Dispute handling principles
- A written notice should include a clear summary of facts, claimed breach, and requested remedy.
- Each party should appoint an authorized representative to engage in resolution discussions.
- Interim injunctive relief may still be sought to protect confidentiality or intellectual property rights.
- Each party bears its own legal costs unless law or court order states otherwise.
If any forum selection term is invalid under local law, the remaining lawful dispute provisions will still apply as closely as possible to original intent.
i. Changes to Terms
We may update these Terms & Conditions from time to time to reflect legal requirements, operational changes, service evolution, or risk management needs. The latest version will be posted on this page with an updated effective date.
For material changes, we may also provide notice through available communication channels, such as account email, service updates, or direct written communication where appropriate.
Continued use of the website or services after the effective date of revised terms indicates acceptance of the updated version unless prohibited by law.
Reviewing updates
- You should periodically review this page to remain informed of current legal terms.
- If you disagree with a revision, discontinue use and contact us regarding transition options.
- Prior contractual commitments remain governed by their own signed terms unless amended.
- Minor editorial corrections that do not affect legal meaning may be made without separate notice.
DMBS Orbit encourages users to keep a dated copy of terms relevant to active engagements for internal records.
